4. Product Information and Compatibility
Deaerator Solutions makes reasonable efforts to provide accurate product descriptions, specifications, dimensions, materials, and other technical information. However, we do not guarantee that all Website information is complete, accurate, or current at all times.
Product information and specifications may be updated or modified without prior notice. Material changes affecting an accepted order will be communicated to the customer and will require customer approval.

Product compatibility guides, cross-references, recommendations, and other information provided by Deaerator Solutions are intended to assist customers in product selection and do not constitute guarantees of compatibility, fit, performance, or suitability for a particular application unless expressly warranted in writing.
Any product recommendations or technical assistance provided by Deaerator Solutions are based on the information available or supplied by the customer. Customers remain responsible for final product selection, proper installation, and compliance with applicable laws, codes, and industry standards, unless Deaerator Solutions expressly assumes specific responsibilities in writing.
Products should be installed, operated, and maintained by appropriately qualified personnel in accordance with applicable safety requirements and accepted industry practices.
General Website information and informal technical assistance do not constitute formal engineering services, certified engineering advice, or a substitute for application-specific engineering evaluation. Formal engineering services, where offered, will be subject to an expressly defined scope of work and any applicable additional terms.
5. Orders and Acceptance
All orders placed with Deaerator Solutions, LLC are subject to review and acceptance.
Online Orders
When a customer places an order through the Website, an automated email may be issued acknowledging receipt of the order. This automated acknowledgment does not constitute acceptance of the order or create a binding sales agreement.
An online order becomes binding only when Deaerator Solutions or its authorized representative issues a formal order acceptance confirmation or the ordered products are shipped, whichever occurs first.
Quotation-Based Orders
Customers may request formal quotations from Deaerator Solutions or its authorized representatives. Quotations do not constitute acceptance of an order.
Purchase orders submitted in response to a quotation are subject to review and formal acceptance by Deaerator Solutions or its authorized representative. A binding agreement is established only upon such acceptance.
Right to Reject Orders
Deaerator Solutions reserves the right to reject any order before acceptance, including for reasons involving pricing or listing errors, product unavailability, suspected fraud, export restrictions, security concerns, unauthorized purchasing activity, or other legitimate business reasons, subject to applicable law.
If payment has already been collected for an order that is rejected, Deaerator Solutions will refund the payment.
Order Changes and Cancellations
Once an order has been accepted, any customer-requested changes or cancellations require written approval from Deaerator Solutions and are subject to the applicable cancellation and refund provisions of these Terms.
Deaerator Solutions reserves the right to correct errors in quotations, product listings, pricing, or order information before accepting an order.
6. Quotations and Purchase Orders
Quotation Validity
Unless otherwise expressly stated in writing, quotations issued by Deaerator Solutions, LLC or its authorized representatives are valid for sixty (60) days from the date of issuance.
Pricing and Availability
Quoted pricing, product availability, and estimated delivery schedules are subject to verification and may change before an order is formally accepted. Deaerator Solutions reserves the right to correct clerical, mathematical, pricing, or other errors in quotations before order acceptance.
Quotation Scope
Quotations include only the products, quantities, services, and other items expressly identified in the quotation. Any additional products, services, or requirements must be separately agreed upon in writing.
Customer Purchase Order Terms
Any additional or conflicting terms contained in a customer’s purchase order or other documents shall not apply unless expressly agreed to in writing by Deaerator Solutions.
Orders become binding only upon acceptance in accordance with Section 5 of these Terms.
7. Pricing, Payments, and Taxes
Pricing and Currency
All prices are stated in United States dollars (USD) unless expressly specified otherwise.
Prices are subject to change without notice before an order is accepted. Once an order is accepted, its agreed pricing will remain effective unless otherwise agreed in writing.
Payment Methods
Deaerator Solutions accepts payment through approved methods communicated at checkout or specified in the applicable quotation or invoice.
Online Orders
Orders placed directly through the Website require payment at checkout.
Quotation-Based Orders
For quotation-based orders shipped within the United States, Deaerator Solutions may authorize shipment upon receipt of satisfactory proof that payment has been initiated, even if the funds have not yet been received.
For quotation-based orders shipped internationally, payment must be received and confirmed by Deaerator Solutions before shipment.
Deaerator Solutions reserves the right to require confirmed receipt of payment before shipment for any order, regardless of destination.
Proof of payment does not discharge the customer’s payment obligation until the funds are successfully received and cleared.
Taxes and Additional Charges
Customers are responsible for applicable sales, use, and similar taxes, customs duties, import fees, and other governmental charges associated with their purchases, except for taxes imposed on Deaerator Solutions’ income.
Shipping, handling, and other applicable charges will be identified at checkout or in the applicable quotation or invoice, unless expressly included in the stated price.
Special Account Pricing
Certain authorized customer accounts may qualify for special pricing. Such pricing is exclusive to the authorized customer, may not be transferred or shared with others, and may be modified or discontinued at the discretion of Deaerator Solutions unless otherwise agreed in writing.
Payment Verification and Shipment Suspension
Deaerator Solutions reserves the right to verify payment information and suspend shipment or fulfillment until applicable payment requirements have been satisfied.
If payment is unsuccessful, reversed, or not ultimately received, the customer remains responsible for the outstanding amount.
8. Shipping and Delivery
Shipping Arrangements
Deaerator Solutions, LLC may use third-party fulfillment providers and shipping carriers to process, package, and deliver orders.
Shipping methods, carriers, and applicable shipping charges will be determined at checkout or specified in the applicable quotation or order confirmation.
Delivery Estimates
All shipping dates, delivery dates, and transit times are estimates unless expressly guaranteed in writing by Deaerator Solutions.
Deaerator Solutions is not responsible for delays caused by shipping carriers, customs processing, supply chain disruptions, or other circumstances beyond its reasonable control, subject to applicable law.
Risk of Loss
To the extent permitted by applicable law and unless otherwise expressly agreed in writing, risk of loss or damage transfers to the customer when the products are delivered to the shipping carrier.
Inspection and Freight Claims
Customers should inspect shipments promptly upon delivery and report visible damage, shortages, or incorrect items to Deaerator Solutions within five (5) business days.
Customers should retain damaged packaging and products when reasonably necessary to support a freight claim.
Failure to report an issue within this period may limit available remedies to the extent permitted by applicable law. Concealed damage and rights that cannot legally be restricted are not waived by this reporting requirement.
The five-business-day reporting requirement for visible shipping damage, shortages, or incorrect items does not shorten the applicable product warranty period or limit warranty rights for defects discovered later.
International Shipments
Unless expressly agreed otherwise in writing, international customers are responsible for import clearance, customs duties, import taxes, brokerage fees, and compliance with applicable import requirements.
International delivery schedules may be affected by customs procedures and other circumstances outside Deaerator Solutions’ control.
Incorrect Shipping Information and Failed Deliveries
Customers are responsible for providing accurate and complete shipping information.
Additional shipping, storage, return, or redelivery charges resulting from incorrect customer-provided information, refused deliveries, or failed delivery attempts attributable to the customer may be charged to the customer.
9. Cancellations, Returns, and Refunds
Order Cancellations
Once an order has been accepted, cancellation requires written approval from Deaerator Solutions, LLC.
Deaerator Solutions reserves the right to recover costs incurred before an approved cancellation, including costs associated with specially ordered, custom-made, or modified products.
Return Authorization
Customers must request return authorization within thirty (30) days of delivery. No products may be returned without prior authorization from Deaerator Solutions.
Return Eligibility
Returned products must be unused, uninstalled, unmodified, and in their original condition unless otherwise authorized by Deaerator Solutions.
Products that have been installed, used, modified, or damaged after delivery are not eligible for return, except where required by applicable law or covered by an applicable product warranty.
Custom and Special-Order Products
Custom-made, modified, or specially ordered products are nonreturnable unless expressly authorized in writing by Deaerator Solutions or required by applicable law.
Return Shipping and Restocking Fees
For returns unrelated to product defects or errors by Deaerator Solutions, customers are responsible for return shipping costs unless otherwise agreed in writing.
Deaerator Solutions may, at its discretion, condition approval of a return on the customer’s acceptance of a restocking fee. Any applicable restocking fee will be communicated to the customer before the return is authorized.
Refunds
Approved refunds will be processed after returned products have been received and inspected.
Refunds will generally be issued to the original payment method, less any applicable disclosed restocking fees and nonrefundable shipping charges, subject to applicable law.
Defective or Incorrect Products
Customers who receive defective or incorrect products must notify Deaerator Solutions. Available remedies will be determined under the applicable product warranty, agreed order terms, and applicable law.
10. Limited Product Warranty
Warranty Period and Coverage
Deaerator Solutions, LLC warrants that products covered by its limited warranty will be free from defects in materials and workmanship for twelve (12) months from the date of delivery, under normal and intended use.
This warranty does not guarantee compatibility with any particular equipment or application, or any specific level of performance, operating efficiency, or service life.
Warranty Remedies
If a product is determined by Deaerator Solutions to be defective under the applicable warranty, Deaerator Solutions may, at its discretion and expense, replace the defective product or refund the purchase price paid for that product.
These remedies are the customer’s sole and exclusive remedies for breach of the limited product warranty, to the extent permitted by applicable law.
Warranty Exclusions
The limited warranty does not cover defects, damage, or failures resulting from improper installation, misuse, operation outside specified conditions, corrosion, inadequate maintenance, unauthorized modifications, normal wear and tear, or other causes unrelated to defects in materials or workmanship.
Warranty Claims
Customers must notify Deaerator Solutions promptly after discovering a suspected defect and within the applicable warranty period.
Deaerator Solutions may require reasonable documentation, photographs, inspection, or return of the product to evaluate a warranty claim.
Other Manufacturer Warranties
Certain products may be subject to warranties provided by their respective manufacturers. Where applicable, such warranties will govern in place of the Deaerator Solutions limited warranty, to the extent permitted by law.
Disclaimer of Other Warranties
Except for the express warranties provided in this section or otherwise expressly agreed to in writing, deaerator solutions disclaims all other warranties, express or implied, including the implied warranties of merchantability and fitness for a particular purpose, to the maximum extent permitted by applicable law.
11. Engineering Consultations and Services
Scope of Services
Technical consultations and engineering-related services provided by Deaerator Solutions, LLC are limited to the services expressly described at booking or specified in an agreed quotation or written scope of work.
Unless expressly included in the agreed scope, consultations do not include engineering drawings, calculations, written reports, or ongoing technical support.
Payment and Additional Services
Paid consultations require payment before the scheduled appointment unless otherwise agreed in writing.
Additional consultation time or services will be billed separately and require customer approval before additional charges are incurred.
Cancellations, Rescheduling, and No-Shows
Customers may cancel or reschedule a consultation without penalty by providing at least twenty-four (24) hours’ notice before the scheduled appointment.
For cancellations or rescheduling requests made less than twenty-four (24) hours before the appointment, or if the customer fails to attend, Deaerator Solutions may retain or deduct the cancellation fee disclosed at the time of booking, to the extent permitted by applicable law.
If Deaerator Solutions cancels a consultation and the parties cannot agree on a replacement appointment, the customer will receive a refund of the prepaid consultation fee.

Deaerator Solutions may rely on customer-provided information without independently verifying its accuracy unless verification is expressly included in the agreed scope of work.

Performance and Results
Deaerator Solutions does not guarantee specific results from consultations or engineering-related services, including improvements in equipment performance, operating efficiency, production, or operating costs, unless expressly agreed in writing.
Formal Engineering Services
Engineering drawings, calculations, evaluations, and other formal engineering deliverables will be provided only under an expressly agreed scope of work
12. Third-Party Manufacturers and Trademarks

Customers are responsible for the accuracy and completeness of information they provide. Deaerator Solutions may rely on customer-provided information without independently verifying it unless otherwise expressly agreed in writing.
Confidentiality
Deaerator Solutions will treat nonpublic technical drawings, specifications, and other materials identified as confidential, or reasonably understood to be confidential, as confidential information.
Confidential information may be disclosed to employees, contractors, suppliers, manufacturers, and fulfillment partners to the extent reasonably necessary to fulfill the customer’s request, provided such recipients are subject to appropriate confidentiality obligations.

Nothing in this section limits or overrides the express product warranties, accepted order obligations, or other commitments expressly undertaken by Deaerator Solutions under these Terms or a separate written agreement.
16. Limitation of Liability
Exclusion of Consequential Damages
To the maximum extent permitted by applicable law, Deaerator Solutions, LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to plant shutdowns, equipment downtime, lost production, lost revenue or profits, decreased operating efficiency, loss of use, or costs associated with replacement equipment or interrupted operations.
This exclusion applies to claims arising from or relating to products, product defects, incompatibility, shipping delays, technical information, compatibility guides, engineering consultations, services, or use of the Website, regardless of whether Deaerator Solutions was advised of the possibility of such damages.
Maximum Liability
To the maximum extent permitted by applicable law, the total aggregate liability of Deaerator Solutions arising from or relating to any product or service shall not exceed the amount actually paid by the customer for the specific product or service giving rise to the claim.
For claims relating solely to use of the Website and not involving a purchased product or service, Deaerator Solutions shall have no monetary liability to the maximum extent permitted by applicable law.

These limitations apply regardless of whether a claim is based on contract, warranty, negligence, strict liability, or any other legal theory, to the maximum extent permitted by applicable law.
Separate Written Agreements
Different liability limitations may apply where expressly agreed to in writing by Deaerator Solutions and the customer for a specific transaction or service engagement.
The limitations of liability set forth in this Section apply solely to the liability of Deaerator Solutions, LLC and do not limit a customer’s indemnification obligations under Section 17.

- Inaccurate, incomplete, or unauthorized specifications, drawings, documents, or other information supplied by the customer.
- The customer’s violation of applicable laws or regulations.
- Infringement or misappropriation of third-party intellectual property rights resulting from materials or information provided by the customer.
The customer’s indemnification obligations apply only to the extent the claim arises from the customer’s acts or omissions and do not extend to losses attributable to the negligence, defective products, or misconduct of Deaerator Solutions.
Deaerator Solutions will provide reasonably prompt notice of any covered claim and reasonably cooperate in its defense. No settlement imposing obligations on Deaerator Solutions may be entered into without its prior written consent.

Deaerator Solutions may also reject or suspend transactions when compliance cannot reasonably be verified.
If an order is canceled because fulfillment would violate applicable trade laws or regulations, Deaerator Solutions will refund amounts paid for products not delivered or services not performed, to the extent legally permitted. Ordinary cancellation charges under Section 9 shall not apply to such cancellations.
Resale and Re-Export
Customers may not resell, transfer, export, or re-export products purchased from Deaerator Solutions in violation of applicable export control laws, sanctions, or trade restrictions.

Events Beyond Reasonable Control
Deaerator Solutions, LLC shall not be liable for delays or failure to perform its contractual obligations to the extent caused by circumstances beyond its reasonable control, including natural disasters, fires, floods, severe weather, war, terrorism, labor disruptions, government actions, epidemics, transportation interruptions, supplier shortages, or other comparable events beyond its reasonable control.
Performance During Force Majeure
Affected obligations will be suspended to the extent and for the duration that performance is prevented or delayed by a qualifying event.
Deaerator Solutions will make reasonable efforts to minimize disruption and resume performance when reasonably practicable.
Extended Delays and Cancellation
If a force majeure event materially prevents or delays performance for sixty (60) consecutive days, either party may cancel the affected, unfulfilled portion of the order by providing written notice.
Amounts paid for canceled products not delivered or services not performed will be refunded, subject to any separately agreed written terms applicable to custom or special-order products.
Cancellation charges under Section 9 shall not apply to cancellations permitted under this Section 19, except as otherwise provided in separately agreed written terms for custom or special-order products.
Payment Obligations
Customers remain responsible for payment obligations relating to products already delivered or services already performed, notwithstanding a force majeure event.

21. Governing Law and Disputes
Governing Law
These Terms and any related disputes shall be governed by the laws of the State of Kansas, without regard to conflict-of-law principles, except where mandatory applicable law requires otherwise.

If Deaerator Solutions elects arbitration, proceedings shall take place in Johnson County, Kansas, before a single neutral arbitrator under the Commercial Arbitration Rules of the American Arbitration Association. The Federal Arbitration Act shall govern this provision where applicable.
If arbitration is not elected, legal proceedings shall be brought exclusively in the state courts located in Johnson County, Kansas, or the United States District Court for the District of Kansas, where federal jurisdiction exists.
Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief from a court of competent jurisdiction.
22. General Provisions and Contact Information
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver
Failure by Deaerator Solutions, LLC to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision in the future.
Entire Agreement
These Terms, together with any accepted quotation, order acknowledgment, and expressly incorporated documents, constitute the entire agreement between the parties concerning the applicable transaction and supersede prior discussions or understandings regarding that transaction. Any separately negotiated written agreement shall control over conflicting provisions of these Terms.
